2.1 Online Ordering

Our Site allows users to browse our current menu offerings, customize food and beverage items, add items to a digital shopping cart, and complete secure online transactions for food purchases. Menu items, prices, availability, and customization options are subject to change at any time without prior notice.

2.2 Delivery Services

We may offer delivery services to addresses within designated delivery zones. Delivery availability, minimum order requirements, estimated delivery times, and delivery fees are displayed at the time of checkout and are subject to change. Delivery times are estimates only and are not guaranteed.   • Reproducing, duplicating, copying, selling, reselling, or exploiting any portion of our Site or services without our express written permission;
  • Submitting false or misleading reviews, ratings, or feedback about our products or services;
  • Circumventing or attempting to circumvent any security or access control measures on our Site;
  • Engaging in any activity that violates the rights of any third party, including intellectual property rights, privacy rights, or contractual rights.

Violation of any of the above prohibitions may result in the immediate suspension or termination of your account and/or access to our services, and may subject you to civil liability or criminal prosecution under applicable law, including but not limited to the Computer Fraud and Abuse Act (18 U.S.C. § 1030) and the Electronic Communications Privacy Act (18 U.S.C. §§ 2510–2523).

You are responsible for all applicable federal, state, and local taxes associated with your purchases. Sales tax will be calculated and displayed at checkout based on the applicable tax rates for your order location.

6. Intellectual Property Rights

The Site and all of its content, features, and functionality — including but not limited to all text, graphics, photographs, images, logos, brand names, trademarks, service marks, trade dress, videos, audio clips, data compilations, software, user interface designs, and the selection, arrangement, and presentation thereof — are the exclusive property of Dewey's Pizza and/or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

The Dewey's Pizza name, logo, and all related marks, designs, and slogans are trademarks or registered trademarks of Dewey's Pizza. Nothing in these Terms shall be construed as granting, by implication, estoppel, or otherwise, any license or right to use any trademark, trade name, or service mark of Dewey's Pizza without our prior written consent.

6.1 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use our Site solely for your personal, non-commercial use in connection with placing orders and using our services. This license does not include the right to:

  • Reproduce, modify, create derivative works of, distribute, publicly display, or publicly perform any content from our Site;
  • Use any data mining, robots, or similar data gathering or extraction tools;

7. Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, OUR SITE, SERVICES, PRODUCTS, AND ALL CONTENT THEREON ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. DEWEY'S PIZZA EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT;
  • WARRANTIES THAT OUR SITE OR SERVICES WILL BE AVAILABLE, UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE;
  • WARRANTIES THAT DEFECTS OR ERRORS WILL BE CORRECTED;
  • WARRANTIES THAT OUR SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY INFORMATION, CONTENT, OR MENU DESCRIPTIONS PROVIDED ON OUR SITE.

Menu item descriptions, photographs, and nutritional information provided on our Site are for general informational purposes only and may not be entirely accurate. Actual products may differ from those depicted. We strongly encourage customers with food allergies, dietary restrictions, or other health concerns to contact us directly before placing an order. We make no warranty that our food products are free from allergens or will meet your specific dietary requirements.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE UNITED STATES LAW, IN NO EVENT SHALL DEWEY'S PIZZA, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, CONTRACTORS, SUPPLIERS, LICENSORS, OR SUCCESSORS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES;
  • LOSS OF PROFITS, REVENUE, GOODWILL, DATA, BUSINESS, OR ANTICIPATED SAVINGS;
  • PERSONAL INJURY OR PROPERTY DAMAGE ARISING FROM YOUR USE OF OR INABILITY TO USE OUR SITE OR SERVICES;
  • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS;
  • DAMAGES ARISING FROM DELAYS IN DELIVERY OR PICKUP;
  • DAMAGES ARISING FROM THE QUALITY, SAFETY, OR ACCURACY OF FOOD PRODUCTS BEYOND WHAT IS REQUIRED BY APPLICABLE CONSUMER PROTECTION LAW;

EVEN IF DEWEY'S PIZZA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY EVENT, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT PAID BY YOU TO DEWEY'S PIZZA IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).

Nothing in these Terms shall limit or exclude our liability for: (i) death or personal injury caused by our negligence; (ii) fraud or fraudulent misrepresentation; or (iii) any other liability that cannot be limited or excluded under applicable law, including liability under the Magnuson-Moss Warranty Act or applicable state consumer protection statutes.

9. Indemnification

You agree to defend, indemnify, and hold harmless Dewey's Pizza and its officers, directors, employees, agents, contractors, licensors, service providers, subcontractors, suppliers, successors, and assigns from and against any and all claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

  • Your violation of these Terms;
  • Your use of the Site or our services;
  • Your User Content;
  • Your violation of any rights of a third party, including intellectual property rights, privacy rights, or contractual rights;
  • Your violation of any applicable federal, state, or local law, regulation, or ordinance;
  • Any misrepresentation made by you in connection with your use of our Site or services;
  • Any fraudulent, negligent, or otherwise wrongful act or omission by you.

We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, in which case you agree to cooperate fully with our defense of such claim. You shall not settle any claim subject to this indemnification provision without our prior written consent.

10. Food Safety and Allergen Information

Dewey's Pizza takes food safety seriously and strives to comply with all applicable federal and state food safety regulations, including those established by the U.S. Food and Drug Administration (FDA) and applicable state and local health departments. However, we cannot guarantee that our products are free from cross-contamination with allergens, including but not limited to: wheat/gluten, dairy, eggs, nuts, soy, fish, and shellfish.

If you have a known food allergy or sensitivity, we strongly urge you to contact us directly at [email protected] prior to placing an order to discuss your specific dietary requirements. We cannot accept responsibility for adverse reactions to food consumed where we were not made aware of relevant dietary restrictions prior to the preparation of your order.

13. Governing Law and Jurisdiction

To the extent that any dispute is not subject to binding arbitration as set forth in Section 14 below, you agree that exclusive jurisdiction and venue for any such dispute shall lie in the federal or state courts of competent jurisdiction located in the United States. You hereby consent to the personal jurisdiction of such courts and waive any objection to venue in such courts.

These Terms shall not be governed by the United Nations Convention on Contracts for the International Sale of Goods, the application of which is expressly excluded. Our services are intended for use by customers located within the United States. We make no representation that our services are appropriate or available for use in other locations.

14. Dispute Resolution and Arbitration

14.1 Informal Resolution

In the event of any dispute, claim, or controversy between you and Dewey's Pizza arising out of or relating to these Terms, our services, or your use of our Site (a "Dispute"), the parties shall first attempt to resolve the Dispute informally by contacting us at [email protected]. The parties agree to negotiate in good faith for a period of no less than thirty (30) days from the date the Dispute is first raised before initiating any formal dispute resolution proceedings.

14.2 Binding Arbitration

If the parties are unable to resolve the Dispute through informal negotiation within thirty (30) days, either party may elect to have the Dispute resolved by final and binding arbitration administered by a nationally recognized arbitration organization (such as the American Arbitration Association ("AAA") or JAMS) in accordance with its applicable rules, including its Consumer Arbitration Rules, as modified by these Terms.

  • The arbitration shall be conducted in English, in the United States;
  • The arbitrator shall have the authority to award any remedy or relief that a court of competent jurisdiction could award, except that the arbitrator shall have no authority to award punitive damages unless expressly authorized by statute;
  • The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction;
  • Each party shall bear its own costs and attorneys' fees in arbitration, except as otherwise required by applicable law or the applicable arbitration rules.

14.3 Class Action Waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND DEWEY'S PIZZA AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT AS A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU HEREBY WAIVE YOUR RIGHT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. If this class action waiver is found to be unenforceable, then the entire arbitration provision shall be null and void, and any Dispute shall be resolved in a court of competent jurisdiction.

14.4 Exceptions to Arbitration

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of that party's intellectual property rights or confidential information. Small claims court actions may also be brought in lieu of arbitration for qualifying disputes.

15. Term and Termination

These Terms shall remain in full force and effect for as long as you access or use our Site or services. We reserve the right, in our sole discretion, to:

  • Terminate or suspend your access to our Site or services at any time, with or without cause, and with or without notice;
  • Delete your account and any User Content associated with it;
  • Take any other action we deem appropriate to enforce these Terms or protect our business interests.

Upon termination for any reason: (i) the license granted to you under these Terms shall immediately terminate; (ii) you must immediately cease all use of our Site and services; and (iii) any provisions of these Terms that by their nature should survive termination shall survive, including but not limited to Sections 6 (Intellectual Property), 7 (Disclaimers), 8 (Limitation of Liability), 9 (Indemnification), 13 (Governing Law), 14 (Dispute Resolution), and 17 (Severability).

We reserve the right to update, modify, or replace these Terms of Service at any time and for any reason, at our sole discretion. 18. Entire Agreement

These Terms of Service, together with our Privacy Policy and any other agreements or policies expressly incorporated herein by reference, constitute the entire and exclusive agreement between you and Dewey's Pizza with respect to your use of our Site and services, and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.

No waiver by either party of any breach or default hereunder shall be deemed a waiver of any subsequent breach or default. No oral or written information provided by us or our representatives shall create a warranty or modify these Terms unless incorporated into a written agreement signed by an authorized representative of Dewey's Pizza.

19. Force Majeure

Dewey's Pizza shall not be liable for any delay or failure to perform its obligations under these Terms to the extent that such delay or failure is caused by circumstances beyond our reasonable control, including but not limited to: acts of God, natural disasters, pandemics or public health emergencies, acts of war or terrorism, government actions or regulations, labor disputes or strikes, power outages, internet or telecommunications failures, or supply chain disruptions. In such circumstances, our obligations shall be suspended for the duration of the force majeure event.

20. Electronic Communications

By using our Site and services and providing your email address or other contact information, you consent to receive electronic communications from Dewey's Pizza, including order confirmations, receipts, promotional offers, and other service-related communications. You agree that any notices, agreements, disclosures, or other communications we send to you electronically will satisfy any legal communication requirements, including that such communications be in writing.

22. Assignment

You may not assign, transfer, delegate, or sublicense any of your rights or obligations under these Terms without our prior written consent. Any purported assignment in violation of this provision shall be null and void. Dewey's Pizza may freely assign or transfer these Terms and any of our rights or obligations hereunder, including in connection with a merger, acquisition, corporate reorganization, sale of assets, or by operation of law, without restriction and without notice or consent.
